  1. Introduction<\/strong><\/li>\n<\/ol>\n

    Our company, on behalf of the customer, is interested in acquiring, renewable energy projects in Georgia from experienced developers – preferably at ready-to-build or near ready-to-build stage. This Request for Expressions of Interest (EOI) outlines the criteria and requirements for project proposals.<\/p>\n

    1. Selection Criteria<\/strong><\/li>\n<\/ol>\n

      Projects will be evaluated based on the following selection criteria:<\/p>\n

      2.1 Technical Criteria<\/p>\n

        \n
      • Implementation agreement signed with the Government of Georgia and guarantees submitted (alternatively, the projects should have Feasibility MoU completed and be in negotiation of implementation agreement);<\/li>\n
      • Lands required for the project development secured or\/and reserved for the project implementation with a pre-defined price and willingness of the seller to sell it. The lands should be of non-agricultural status or\/and with proof that this conversion is easily feasible.<\/li>\n
      • Grid connection conditions received from DSO or\/and TSO (in case of wind and solar the specific grid connection quota issued for the considered project);<\/li>\n
      • Feasibility study completed by a reputable consulting company in accordance with best practice and in compliance with the Ministry\u2019s requirements set in Memorandum.<\/li>\n<\/ul>\n

        2.2 Financial Criteria<\/p>\n

          \n
        • Levelized cost of energy (LCOE);<\/li>\n
        • Detailed CAPEX and OPEX breakdown;<\/li>\n
        • Projected internal rate of return (IRR);<\/li>\n
        • Reasonable selling price.<\/li>\n<\/ul>\n

          2.3 Environmental and Social Criteria<\/p>\n

            \n
          • The project should be out of protected zones and have a proven record of social acceptance;<\/li>\n
          • Compliance with local laws and regulations regarding renewable energy development in Georgia.<\/li>\n<\/ul>\n

            1. Additional Specifications and Formalities<\/strong><\/li>\n<\/ol>\n

              The following specifications and formalities apply to this EOI:<\/p>\n

              3.1 Language<\/p>\n

              The submission should be made in English language.<\/p>\n

              3.2 Eligibility<\/p>\n

              Only solid developers with experience in developing renewable energy projects in Georgia are eligible to participate.<\/p>\n

              3.3 Confidentiality<\/p>\n

              All information provided by the developers in their submission will be kept strictly confidential and used only for the purpose of evaluating the project for acquisition.<\/p>\n

              3.4 Costs<\/p>\n

              The developer shall bear all costs associated with preparing and submitting their project proposal.<\/p>\n

              3.5 Right to Reject<\/p>\n

              The company reserves the right to reject any or all submissions for any reason and is not obligated to provide any explanation for its decision.<\/p>\n

              3.6 Binding Agreement<\/p>\n

              This EOI is not a legally binding agreement and does not commit the company to acquire any of the projects submitted.<\/p>\n

              3.7 Due Diligence<\/p>\n

              After the submission deadline, the company will conduct a due diligence process to assess the feasibility of each project. Selected developers may be invited for further negotiations.<\/p>\n

              3.8 Non-Disclosure Agreement<\/p>\n

              Before sharing any confidential information, the company may require developers to sign a non-disclosure agreement (NDA).<\/p>\n

              3.9 Compliance<\/p>\n

              All projects must comply with local laws and regulations regarding renewable energy development in Georgia.<\/p>\n

              3.10 Contact Information<\/p>\n

              Developers should provide their contact information, including their name, company name, email address, and phone number, in their submission.<\/p>\n

                Interested parties are invited to submit project teasers along with the project(s) selling price. The final date for submission is May 30, 2023, by 20:00 CET.<\/p>\n
